Definitions

In these conditions the following expressions have the following meanings:

Method Creative Limited (trading as Method Studio). Registered office: Method Studio, Unit 2, Building A3, Design District, 8 Monro Way, London, SE10 0EJ. Company registration number: 10049730 VAT registration number: 283718965.

“The Client” any person or firm or company dealing with Method Creative Limited or any servant or employee of such a person, firm or company.

“Services” shall include all studio facilities and the services of assistants, technicians, operators and other personnel of Method Creative Limited or of any sub-contractor of the Company.

“Booking definition” Commercial categorisation is defined as projects where the content created is being used to sell a product or service including but not limited to: E-commerce, Advertising, Online Advertising (including social media), Music Videos, Events & Workshops. Editorial categorisation is defined as individuals/ projects with low budgets, and the content created being used for portfolio purposes, model tests shoot etc. Method Creative Limited retains the right to define the category applicable to The Client and charge accordingly.

“Equipment” all studio fixtures and other equipment provided by Method Creative Limited or by its nominated sub-contractors.

“Studio” the premises of Method Studio where the services and equipment are provided. The Premises, means the entire studio and shared building toilets of Method Studio: Unit 2, Building A3, 8 Monro Way, London, SE10 0EJ. Studio hire prices are for space rental only.

1.General

1.1. Method Creative Limited, will insure the Studio against all normal insurable risks but not further or otherwise. The Client must effect its own insurance cover against consequential loss of profit and other risks and must effect its own cover against loss, damage or theft of any of its own equipment brought onto the studio, or hired through Method Creative Limited whether this be property of Method Creative Limited or sub-hired. Under no circumstances will Method Creative Limited entertain any claims arising out of any failure of the Client to effect its own insurance cover. The Client must ensure that their Public Liability insurance is operative for all persons in the studio during the hours of use to cover any accident, injury or death.

1.2. These Conditions constitute the entire contract and may not be varied otherwise than in writing Signed by a duly authorised signatory on behalf of Method Creative Limited.

1.3. Nothing in these Conditions is intended to exclude, restrict or modify liability on the part of Method Creative Limited resulting from negligence or otherwise unless permitted by Statute.

1.4. The Client is responsible for any breakages, loss or damage occasioned to the Equipment or the Studio caused by or arising from the Client use thereof or by any servant agent employee or subcontractor of the Client.


2. The Studio

2.1. The Studio operating hours are between 0800hrs and 1800hrs. The studio hire charge commences when the Studio and/or Equipment is made available to the Client and terminates when the Studio and/or Equipment is surrendered or returned to Method Creative Limited or the agreed hire period ends. Please note that the booked time is the access time. If the hirer wishes to gain access to the studio earlier, then the studio must be booked earlier. This must be requested at the time of booking and an early access fee may apply. Likewise, it is the time the client and any person, company, representative, employee or subcontractor of such person or organisation leaves the studio (not wrap time of the shoot) that is applicable when calculating any overtime charges. An overtime rate of £100 per hour + VAT will be charged unless previously agreed in writing by Method Creative Limited.

2.2. The Studio may be provisionally booked by email ('pencilled'), however this 'pencil' is only valid up to 3 days prior to the date of the shoot, unless otherwise agreed in writing by Method Creative Limited By which time the client must confirm or release the ‘pencil’ and payment made against an invoice. All bookings must be paid for in advance unless otherwise agreed in writing.

2.3. If the Client wishes to postpone or cancel a confirmed booking this must be done at least 7 days before the hire period starts in order to get a full refund or the following cancellation fees will apply:

2.4.1. Between seven and three days prior to the shoot – 50% cancellation fee

2.4.2. One to three days prior to, or on the day of the shoot – 100% cancellation fee (no refund)

2.4. Bookings may only be extended with the prior consent of Method Creative Limited and overtime rates will be applicable to bookings that run over the agreed time. Clients must ensure that set up and de-rig time takes place within the hours booked.

2.5. The Client must observe all regulations governing the use of the Studio and of any Equipment and services whether imposed by Method Creative Limited or by any statutory body or Local Authority.

2.6. The Studio is available for the exclusive use of the Client named in the booking and the Client is not permitted to sub-contract sub-let or otherwise permit any third party to utilise the Studio without the prior written consent of Method Creative Limited.

2.7. Any materials used in connection with sets constructed by the Client as well as any rubbish there from,shall be removed from the Studio at the end of the hire period at the expense of the Client, additional charges may apply.

2.8. No alterations, decorations or additions to the Studio are permitted without the consent of Method Creative Limited. At the end of the hire period the Studio must be surrendered in the same condition that it was in at the start of the hire period. Any costs incurred by Method Creative Limited arising out of any breach of this Condition shall be paid by the Client.

2.9. It is agreed that a Security/Damages Deposit of 250 + VAT will be paid in addition to the studio hire fee. The deposit is refundable at the end of the booking provided that the premises is in the same condition as it was at the beginning of the studio hire. In the event of the overages exceeding the security deposit, the surplus amount will be added and payable by client to Method Studio within 5 working days.

2.10. The Studio is supplied clean, with a white colour-painted cove as default, at the start of the hire period and all the costs of repairing, and maintaining this state are payable by the Client. Method Creative Limited must be notified by the Client at the start of the hire period if any aspect of the condition or decoration of the Studio or the cove is unacceptable. If no such notification is given the studio will be determined to be of an acceptable standard for use by the Client. Any special painting or decoration requirements should be notified to Method Creative Limited at least 5 working days in advance and will incur additional costs and is subject to availability.

2.11. Method Studio ensures the Studio is in good order and condition at the beginning of each shoot but it shall be the responsibility of the client to ensure that Method Studio is fully suitable in all respects for the hired purpose. The client must examine the studio Immediately upon arriving and must inform Method Studio staff immediately if there are any issues present. Under no circumstances will Method Creative Limited be liable for any loss or damage of whatever kind howsoever caused arising out of or in connection with the use or inability to use the Studio and any equipment hired & loss of access to the studio. c

2.12. The Client, and anyone who attends the studio in association with the project & client, must leave Method Studio in a good condition and left in the state it was found at the start of the booking not including standard wear and tear. In the event of any paint or corrosive liquids brought into the studio, it is the responsibility of the Client to protect the floor with coverings at all times. Any damage or cleaning resulting from their use, will be the responsibility of the Client and a reasonable cleaning or repair fee will be charged in the event of damage. Method Studio reserves the right to charge a fee for any cleaning above the expected requirements, and/or waste removal & repair required. If the premises are not left as found a base cleaning fee of £100 will be charged.

2.13. Please note, Method Studio has a system of closed circuit television (CCTV) cameras located within the premises. The camera records and collects images of employees of Method Creative Limited as well as clients/visitors of method studio. CCTV recordings are used for staff & public safety interests and the prevention and detection of crime. Recordings also provide us with evidence of activity, for formal actions including prosecutions in court and identification of offenders in investigations. The images may also be used by Method Creative Limited as evidence for the enforcement of its own policies and procedures.

2.14. The Client must ensure that any persons under the age of 18 have parents’ or guardians’ permission to be at the studio during the period of studio hire.

3. Hire of Services and Equipment

3.1. All equipment and services are supplied by Method Creative Limited entirely at the risk of the Client. Method Creative Limited shall not be liable for loss or damage of any kind to material or props or equipment entrusted to it however caused including consequential loss and loss of profit.

3.2. The Client must notify Method Creative Limited at the time of supply if the condition of any Equipment is not acceptable.

3.3. In no circumstances shall Method Creative Limited be liable for any loss or damage, including consequential loss, however caused arising out of the use or the inability to use the Equipment supplied or agreed to be supplied.

3.4. The Client may not without the written consent of Method Creative Limited: a. Remove the equipment from the Studio premises; or

3.4.1. modify or alter or tamper with the Equipment in any way; nor

3.4.2. use the Equipment in a manner not recommended by the Manufacturer; nor

3.4.3. allow or suffer the Equipment to be used by any untrained or unauthorised personnel; nor part with possession, sell, pledge, encumber or suffer any lien to be created on the Equipment.

3.5. Where at the request of the Client, Method Creative Limited supplies to the Client the services of assistants, sub-contractors, freelancers or other persons. Such persons shall be deemed to be the servant of the Client and the said services shall be deemed to be rendered by the Client and Method Creative Limited shall not be liable for loss or damage of any kind however caused.

3.6. Method Creative Limited shall not be liable for any loss or damage arising out of any statement, advice, instruction or any other representation given or made by any servant of Method Creative Limited or any other person whose services are supplied to the Client.

3.7. The hire period for services or Equipment cannot be extended without the consent of Method Creative Limited.

3.8. Equipment must be returned promptly at the end of the hire period in original condition. The Client shall pay or compensate Method Creative Limited for the replacement value of lost or damaged Equipment or in respect of any cancellation or variation of any order or failure to return the Equipment on time.

3.9. Equipment and services may be provisionally booked by email and the booking should be confirmed by email within 24 hours. Hire of equipment and services is payable within 7 days of the shoot date unless otherwise agreed in writing.

3.10. Bookings may only be extended with the prior consent of Method Creative Limited, and published overtime rates will be applicable to hires that run over the booked time.


4. Payment and Additional Charges

4.1. Unless otherwise agreed in writing all transactions will be settled in agreement with Method Creative Limited before the commencement of the hire period. Prices may be varied without notice to the Client. Any due amount unpaid shall be liable to daily interest at 10% above the Bank of England base rate. Any additional Equipment, services, staff or modifications to the Confirmation of Booking will be billed to and paid for by the Client.

4.2. At the end of the hire period the Client may be charged at the discretion of Method Creative Limited an additional rental where the Studio or any item of Equipment is delivered to or returned to MethodCreative Limited in a bad or damaged condition so as to preclude use or hire of the said Studio or Equipment. Where Method Creative Limited is required to place a security deposit with any third party for the hire of any item of equipment such deposit shall be paid to Method Creative Limited by the Client when the booking is made.

4.3. Our single wall infinity cove is supplied white for first time use by our clients. At the end of each hire period, the cove will be returned to its original state, and the client will be liable for all costs of painting, repair and restoring to the original condition.


5. Exclusions of Liability

5.1. Method Creative Limited shall not be liable to the Client for any loss damage expense liability or for any consequential loss (including loss of profit) whatsoever or howsoever arising out of or in connection with any of the following:

5.1.2. any damage to or loss of property by the Client or the Clients servants or agents or any third party. Any breakdown stoppage or failure of the facilities and Equipment provided in the Studio or any other Equipment supplied to the Client by Method Creative Limited.

5.1.3. any death or injury occasioned to any Client or servant or agent of any Client occasioned by the use of the Studio or any Equipment unless such death or injury is directly attributable to the negligence of Method Creative Limited or the servants or agents of Method Creative Limited for any fines and/or legal costs incurred by Method Creative Limited or the Client for any activity connected with the hire of the Studio or Equipment any failure on the part of Method Creative Limited to comply with its obligations to the Client due to any circumstances beyond the control of Method Creative Limited.


6. Indemnity

6.1. The Client shall at all times keep Method Creative Limited indemnified against all actions proceedings costs charges claims expenses and demands whatsoever which may be made or brought against Method Creative Limited or the servants or agents of Method Creative Limited by any third party in respect of any alleged injury loss damage or expense arising out of or in connection with the use of the Studio or Equipment or services supplied by Method Creative Limited even where such injury loss damage or expense is caused wholly or in part by the negligence or breach of contract of Method Creative Limited its directors servants or agents save in respect of any death or personal injury caused by the negligence of Method Creative Limited as aforesaid.


7. Deliveries & Collection

7.1. Any & all property of the clients, including, valuables, equipment or other items sent before a booking, or left on the premises at any time, are at the client’s sole risk. Method Studio will not be liable for any loss or damage incurred by the client to such equipment, valuables or belongings. The client shall be liable for and must effect its own insurance cover against all or any loss or damage to or theft of any of its own equipment brought on the premises before, during or after a booking.

The client should make every effort to remove any items and equipment from the premises on the day of the booking due to limited space being available for storage.


8. Termination

8.1. Method Creative Limited may terminate any hire contract with the Client following any of events below:

8.2. The Client fails to pay any of the monies due to Method Creative Limited or dishonour any cheque paid to it; or if the Client enters into liquidation (other than for the purposes of amalgamation or reconstruction) or shall have a Receiver of its assets appointed or being an individual shall be declared bankrupt or having a Receiving order made against them; if the Client shall be in breach of any of the terms of these Conditions and any such termination shall be without prejudice to any rights accrued to Method Creative Limited against the Client prior to the date of In the event that the client does not pay any monies.


9. Applicable Law

9.1. These Conditions shall be read and construed in accordance with the Laws of England and Wales. Method Creative limited maintains the right to recover any outstanding monies owed in accordance with the Laws of England and Wales.


10. Public Liability

10.1. The Client must have public liability insurance for all persons they are bringing to the studio. The clients public liability insurance should cover any accident, injury, or death during the hired period.


Variation

These Terms and Conditions shall not be varied except by agreement in writing.
